Terms of service | Radix Systems
Terms for using the Radix Systems website, Radix OS, Rad AI and Rad Agents, including subscriptions sold through Paddle.
Who we are and what these terms cover
These terms are an agreement between you and Radix Digital LLC, trading as Radix Systems (“Radix”, “we”, “us”). Business address: 476 Riverside Avenue, Ste 4, Jacksonville, FL 32202. Contact: mo@radixsystems.si.
They apply to this website, to Radix OS, our business platform at os.radixsystems.si, and to the AI features within them, including Rad AI and Rad Agents (together, the “Services”). By creating an account, subscribing or otherwise using the Services, you agree to these terms. If you do not agree, do not use the Services.
If you use the Services for a business or other organisation, you confirm that you are authorised to accept these terms on its behalf, and “you” includes that organisation. You must be at least 18 years old. Radix OS is designed for business use.
Orders and payment through Paddle
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
When you buy through our checkout, Paddle’s Buyer Terms (paddle.com/legal/buyer-terms) also apply to your purchase. Paddle charges your payment method, calculates and collects any sales tax or VAT, and issues your receipts and invoices. Prices are shown in US dollars, and taxes may be added at checkout based on your location.
Radix OS subscription, renewal and cancellation
Radix OS paid access costs $148 USD per month, plus any applicable taxes, unless a different price is shown to you at checkout. Your subscription is billed monthly in advance and renews automatically each month until you cancel.
You can cancel at any time from your Radix OS account page (Manage billing) or at paddle.net. Cancellation stops future charges and takes effect at the end of the current billing period, and you keep access until then. We do not give refunds or credits for partial billing periods, except as set out in our Refund policy or where the law requires.
If a payment fails, Paddle may retry it, and we may restrict or suspend paid access until payment succeeds. We may change the subscription price for future billing periods by giving you at least 30 days’ notice by email or in Radix OS. The new price applies from your first renewal after the notice period, and you can cancel before it takes effect.
The Radix team may also grant access without charge, for example through owner approval or a team invitation. Free or approved access is at our discretion, and we may change or withdraw it.
Refunds
Refunds are covered by our Refund policy at radixsystems.si/refund-policy and are processed by Paddle.
Your account
Give accurate information and keep it up to date. Keep your sign-in details and two-factor authentication secure, and tell us promptly at mo@radixsystems.si if you suspect unauthorised access. You are responsible for activity under your account and for the people you invite to your workspaces, including their compliance with these terms.
Acceptable use
Do not use the Services to break any law or regulation; commit or facilitate fraud, phishing or deception; send spam or unsolicited bulk messages; infringe or misappropriate anyone’s intellectual property, privacy or publicity rights; upload malware or other harmful code; probe, scan, test or bypass security or access controls, except as our security policy permits; scrape, crawl or extract data from the Services by automated means; reverse engineer, copy, resell or sublicense the Services; interfere with or overload the Services; circumvent usage limits or allowances; or harass, threaten or harm others.
Messages, calls and the people you contact
Radix OS helps you email, call and follow up with your contacts. You are responsible for every message and call sent from your workspace, and for having a lawful basis and any consent required to contact each person. That includes complying with laws and rules such as the CAN-SPAM Act, the Telephone Consumer Protection Act, carrier and A2P 10DLC requirements, GDPR and ePrivacy rules, and call-recording and AI-disclosure laws where they apply.
Honour opt-out and unsubscribe requests promptly, do not use purchased or scraped lists where the law requires consent, and identify yourself accurately. We may pause sending, block a campaign or suspend features to protect recipients, our sending reputation or our providers’ accounts.
AI features: Rad AI, Rad Agents and AI drafts
AI features generate drafts, research summaries, replies and voice conversations automatically. AI output can be inaccurate, incomplete or out of date, and may resemble content created by others. Review it before you rely on, send or publish it. AI output is not legal, financial, tax, medical or other professional advice; get qualified human advice for those decisions.
You are responsible for the prompts and materials you provide, for having the rights to use them, and for how you use the output. As between you and us, you own your inputs and, to the extent the law allows, the output generated for you, subject to these terms and the rights of others.
Do not use AI features to create or spread illegal content; sexual content involving minors or non-consensual intimate content; deepfakes or impersonations of real people without their consent; hate, harassment or threats; malware or instructions for causing harm; doxxing or other exposure of private information; or deceptive content, including undisclosed AI calls where disclosure is required. Do not attempt to jailbreak, bypass or misuse the safeguards of our AI features or our AI providers.
Third-party AI providers run these features. AI usage is subject to monthly allowances and rate limits. We may refuse, limit or remove prompts or output, and suspend AI features, to prevent misuse or to comply with the law or our providers’ policies.
Your data
You keep ownership of the contacts, messages, files and other content you put into Radix OS (“Customer Data”). You give us a limited permission to host, copy, process, transmit and display Customer Data as needed to provide, secure and support the Services, as described in our privacy notices.
You are responsible for collecting Customer Data lawfully, giving people any required notices, and the accuracy of what you store. Workspace exports are provided for convenience and are not a complete backup, so keep your own copies of anything important.
After your subscription or account ends, we may suspend access, and we may delete workspace data at any time from 30 days after it ends, unless the law requires us to keep it. Export what you need before you cancel.
Content you publish
If you publish articles, funnels or other pages through Radix OS, you are responsible for that content and for having the rights to publish it. We may remove or disable content that we reasonably believe is unlawful, infringing or in breach of these terms. To report content that you believe infringes your rights, email mo@radixsystems.si with the page address, the rights concerned and your contact details. We may suspend accounts that repeatedly infringe.
Our intellectual property
We and our licensors own the Services, including the software, design, branding, documentation and website content. While your access is active and you comply with these terms, we give you a limited, non-exclusive, non-transferable and revocable right to use the Services for your internal business purposes. Do not reuse our branding or original content without permission. If you send us feedback or suggestions, we may use them freely, without obligation to you.
Third-party services
The Services connect to services we do not control, such as Google, Paddle, Vapi, Resend, Twilio, Smartlead, Supabase, Vercel and AI model providers. Each connected service is subject to its own terms and privacy practices. Its availability, fees and usage charges are your responsibility unless we state otherwise. We are not responsible for third-party services or for changes they make.
Estimates, demos and other services
Calculators, estimates, examples, product tours and demonstrations on this website are illustrative only. Results depend on your business, data and circumstances, and we do not guarantee any revenue, leads, bookings or other outcome. Submitting a form or starting a voice call does not create a paid service agreement. Setup, consulting or managed services beyond Radix OS are provided only under a separate written agreement, which takes priority over these terms if the two conflict.
Availability and changes to the Services
We work to keep the Services available but do not promise that they will be uninterrupted, timely, secure or error-free. We may carry out maintenance, and we may add, change or remove features. Features marked beta, preview or coming soon are provided as they are and may change or end at any time.
Suspension and termination
You can stop using the Services and cancel your subscription at any time. We may suspend or end your access, in whole or in part, if you materially or repeatedly breach these terms, fail to pay, create a security, fraud or legal risk, or harm other users or third parties, or if the law or a provider requires it. Where reasonable, we will tell you first and give you a chance to fix the problem. Terms that by their nature should continue, including payment obligations, ownership, disclaimers, limits of liability, indemnity and disputes, survive termination.
Disclaimer
To the fullest extent permitted by law, the Services are provided “as is” and “as available”. We disclaim all warranties and conditions, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy.
Limitation of liability
To the fullest extent permitted by law, neither Radix nor its owners, staff or suppliers will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill or data, even if advised of the possibility. Our total liability for all claims relating to the Services is limited to the greater of the amounts you paid for the Services in the 12 months before the event giving rise to the claim, or 100 US dollars.
Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, such as liability for fraud, or rights you have as a consumer that cannot be waived.
Indemnity
You will defend, indemnify and hold harmless Radix and its owners and staff against claims, losses and costs, including reasonable legal fees, arising from your Customer Data, the messages and calls sent from your workspace, the content you publish, your use of AI output, or your breach of these terms or the law.
Governing law and disputes
These terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law rules. Before starting a claim, contact us at mo@radixsystems.si so that we can try to resolve it informally within 30 days. Any claim must be brought in the state or federal courts located in Duval County, Florida, and both parties consent to their jurisdiction.
To the extent permitted by law, claims must be brought individually, not as part of a class or representative action; each party waives the right to a jury trial; and any claim must be brought within one year after it arises. If you are a consumer, you keep any mandatory protections, and any right to bring proceedings where you live, that the law of your country gives you.
Changes to these terms
We may update these terms. If a change materially affects paid subscribers, we will give at least 14 days’ notice by email or in Radix OS before it takes effect. Continuing to use the Services after a change takes effect means you accept the updated terms. If you do not agree, cancel before the change takes effect.
General
These terms, together with our Refund policy, our privacy notices and any separate written agreement, are the entire agreement between you and us about the Services. If any part is unenforceable, the rest remains in effect. Our failure to enforce a term is not a waiver. You may not transfer these terms without our consent; we may transfer them as part of a reorganisation, merger or sale. Neither party is responsible for delays caused by events beyond its reasonable control.
